SoAHub Online Store Terms & Conditions

1. Store operated by EURO sp. z o.o., Warsaw. Terms available online at soahub.pl and in writing at: Skowrońscy Art Gallery (SoA Gallery), ul. Grzybowska 30/U5, Warsaw. Contact: info@soahub.pl; +48 518 268 947 (Tue–Sat 11:00–19:00); contact form on the website.
2. Every Customer must read these Terms; acceptance is required before placing an Order.

§ 1. Definitions

1. TERMS – these terms of the Online Store setting rules for use, sales contracts, parties’ rights/obligations, complaints and withdrawal.
2. SELLER / GALLERY – the online store at https://soahub.pl operated by EURO sp. z o.o., ul. Jezierskiego 7/23, 00-457 Warsaw, KRS: 0000125353, NIP: 5222369607, REGON: 013028600.
3. CUSTOMER – a natural person with full/limited capacity (with guardian’s consent), a legal person or an entity granted legal capacity by law.
4. CONSUMER – a natural person acting outside their business or, if related, without a professional character as defined by Polish law.
5. ACCOUNT – a registered data set enabling Order placement and status checks.
6. REGISTRATION FORM – form enabling Account creation.
7. ORDER FORM – interactive form enabling Order placement (Cart, delivery, payment, mandatory pre‑contract information).
8. CART – software element displaying selected Goods and Order data.
9. GOODS – items presented by the Seller in the Store.
10. STORE – the Seller’s website at https://soahub.pl enabling distance contracts.
11. DURABLE MEDIUM – a means of providing information that can be reproduced unaltered (e.g., e‑mail, paper, USB, CD/DVD).
12. ORDER – the Customer’s declaration of intent to purchase specified Goods leading to a Contract.
13. CONTRACT – a sales contract under the Civil Code, concluded at a distance via the Store.

§ 2. General provisions

1. Placing an Order requires confirmation of having read the Terms and the Privacy Policy and consent to personal data processing.
2. Requirements: internet‑enabled device, active e‑mail, cookies enabled, ability to read e‑mails.
3. Prior to ordering, the Consumer is informed of price, delivery costs, payment methods, delivery time and the right of withdrawal.
4. Browsing without registration is possible. Purchase as a logged‑in Customer or Guest. Account creation is free and provides access to order history.
5. It is forbidden to disrupt the Store or submit unlawful content.
6. Prices are in PLN and include VAT; shipping and other fees are excluded unless stated.
7. The Seller may change product information, run promotions/sales; changes do not affect Orders placed before they take effect.
8. Price reductions comply with the Omnibus Directive: the lowest price in the last 30 days is displayed; all costs shown before checkout.
9. Changes to information do not affect the individual price of an artwork while listed, unless a compliant promotion applies.
10. Upon Account creation, an electronic services agreement is concluded.
11. Upon placing an Order, an electronic services agreement is concluded until delivery or end of the withdrawal period.
12. Product information and prices are an invitation to treat (Art. 71 Civil Code).
13. No liability for interruptions due to force majeure, third‑party actions or incompatibility of the Customer’s infrastructure.
14. Browsing does not require an Account. Creating an Account is free.

§ 3. Order processing

1. Orders may be placed:
   • via https://soahub.pl (electronic form),
   • by phone (Tue–Sat 11:00–19:00),
   • by e‑mail: info@soahub.pl.
2. Placing an Order constitutes a declaration to be bound by a contract to purchase the specified Goods.
3. The Customer provides accurate data for delivery (name, address, e‑mail, phone; delivery address).
4. Conditions: acceptance of Terms, selection of Goods, providing data, consent to data processing, choice of payment method.
5. Placing a valid Order entails an obligation to pay.
6. Purchase with or without registration. Credentials must be kept confidential.
7. Flow: add to Cart → “Place order” → data → delivery → payment; items can be edited/removed.
8. The sales contract is concluded when the Seller sends Order acceptance (e.g., by e‑mail). Confirmation on a durable medium contains mandatory information.
9. Order is processed after full payment; title passes upon full payment.

§ 4. Prices and payment

1. Prices in PLN (display in EUR/USD possible), gross; delivery and extra fees are shown separately and must be accepted before ordering.
2. Promotions may be introduced with the artist’s consent and will show the lowest price from the last 30 days.
3. Payment methods:
   • bank transfer: Santander Bank Polska S.A 05 1090 2851 0000 0001 4796 2172,
   • card/online transfer via Przelewy24.
4. The Customer pays the final price, delivery cost and possible handling fees related to the chosen payment method.
5. All costs are clearly presented before checkout; payment is deemed made when funds are received or recorded.

§ 5. Shipping time and delivery

1. Orders are fulfilled in Poland and abroad; time and method of delivery are set individually.
2. Personal pickup: Skowrońscy Art Gallery (SoA Gallery), ul. Grzybowska 30/U5, Warsaw – at a time agreed with the Seller.
3. The Seller provides basic packaging for pickup. On request, assistance with a courier is offered at the Customer’s cost. Risk passes to the Customer when the Goods are handed to the carrier.
4. Order lead time – set individually after purchase.
5. For prepayment methods, time limits run from payment (per § 4(5)).

§ 6. Right of withdrawal

1. The Consumer may withdraw from a distance contract within 14 days without giving reasons.
2. The period runs from physical receipt of the Goods (or the last of multiple Goods).
3. A withdrawal statement must be sent by e‑mail or letter before the 14‑day period expires.
4. The Customer may return the Goods on their own or request collection; return costs are borne by the Customer unless the Seller decides otherwise.
5. The Seller refunds all payments (including standard delivery) no later than 14 days after receiving the withdrawal statement; refund may be withheld until receipt of the Goods or proof of dispatch.
6. The Customer is liable for diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Goods.
7. Withdrawal exclusions per Art. 38 of the Polish Consumer Rights Act (e.g., clearly personalized items; made‑to‑order original artworks).

§ 7. Complaints

1. Complaints are handled under Polish law.
2. The Consumer may claim non‑conformity within 2 years from delivery.
3. Submit complaints in writing to ul. Grzybowska 30/U5, 00‑863 Warsaw, or via the contact form at https://soahub.pl; describe the defect, attach photos if possible, and proof of purchase.
4. The Seller responds within 14 days; lack of response means the complaint is accepted.
5. Differences in appearance due to monitor settings are not grounds for complaint.
6. The Customer makes the Goods available for repair/replacement; shipment costs are covered by the Seller unless the defect is minor and the Customer chose a different remedy.
7. Descriptions/photos may not fully reflect the state of the Goods; in‑person inspection is recommended; no liability for frame condition; framing workshops can be recommended.

§ 8. Personal data

1. Controller: EURO sp. z o.o., ul. Jezierskiego 7/23, 00‑457 Warsaw, KRS: 0000125353, NIP: 5222369607, REGON: 013028600.
2. Processing under GDPR, the Polish Data Protection Act and the Electronic Services Act.
3. Purposes/legal bases: order handling (Art. 6(1)(b)), accounting (c), claims (f), direct marketing (a), account service (b), responses to inquiries (f).
4. Data: name, address, e‑mail, phone, VAT ID (for business purchases).
5. Providing data is voluntary but necessary to conclude a contract, create an Account, or receive responses.
6. Recipients: IT/hosting providers, couriers/post, accounting office, payment operators, law firms (if needed).
7. Retention: contract data – term and limitation (up to 6 years); tax – 5 years; consent‑based – until withdrawn; account – until deletion.
8. Rights: access, rectification, erasure, restriction, portability, objection, withdrawal of consent; complaint to the Polish DPA (UODO).
9. Cookie policy and more information are in the Privacy Policy and Cookie Policy.

§ 9. Final provisions

1. Photos, descriptions and other materials are intellectual property of the Seller or rights holders; use requires consent.
2. Sharing login credentials lets third parties access the Account, data and place orders.
3. Changes to the Terms take effect no earlier than 7 days after publication at https://soahub.pl; Orders placed before changes are processed under previous terms.
4. Order data is recorded and shared by e‑mail; online access is available to Customers with an Account.
5. Acceptance of the Terms includes consent to provide the information required by Art. 12 of the Consumer Rights Act electronically.
6. These Terms take effect on 16 October 2025.
7. Matters not regulated are governed by the Civil Code and other acts referenced herein.
