Artists’ Collaboration Terms – SoAHub
- (constituting a civil-law agreement concluded online)
- These Terms set out the rules of collaboration between the SoAHub Gallery–Store (“Gallery”) and the Artist regarding exhibition, promotion and sale of artworks via the website operated by the Gallery at soahub.pl (the “Store”, “Service”, “Website”).

- Any Artist intending to cooperate with the Gallery for online sales must read, accept and comply with these Terms. Acceptance is equivalent to concluding a cooperation agreement with the Gallery to the extent set out herein. The agreement is deemed concluded upon the Artist’s acceptance of the Terms.
Definitions
- Gallery – Skowrońscy Art Gallery (SoA Gallery), ul. Grzybowska 30/U5, 00-863 Warsaw, operated by Euro sp. z o.o.
- Website – soahub.pl.
- Artist – a natural or legal person (or entity without legal personality) cooperating with the Gallery and offering artworks owned by them for sale in the Store.
- Customer – a natural or legal person or organizational unit using the Store and purchasing artworks.
- Account – a set of individual data created upon registration and acceptance of the Terms, enabling Artists to manage their offers.
- Form(s) – forms available on soahub.pl used to create an Account and then enter/modify data.
- Goods – artworks submitted by the Artist to the Store (paintings, graphics, digital graphics, fine‑art photographs, sculptures, etc.).
- Price – a gross amount (incl. VAT where applicable) for which the Customer may purchase the Goods.
- Store – the Gallery’s online service at soahub.pl constituting an organized system for concluding distance contracts.
- Sales Agreement – a distance contract between the Gallery and the Customer via soahub.pl; the subject is the purchase of Goods offered by the Artist; the Gallery acts as the seller, the Artist as the supplier of the artwork.
§ 1. Conditions for starting cooperation
- Registering an Artist Account by completing the registration form.
- Accepting these Terms (by checking the relevant box).
- Data verification and Account approval by the Gallery (the Gallery may request additional data/documents).
- The consignment cooperation agreement is deemed concluded once the Gallery confirms Account activation and informs the Artist by e‑mail.
- The Gallery may refuse registration/activation without stating reasons unless such refusal would be unlawful.
- After approval, the Artist may add images, descriptions and prices of artworks and modify/remove them; each change requires the Gallery’s approval. Until approved, content is not visible in the Store.
- Technical requirements:
- internet‑enabled device capable of completing forms,
- active e‑mail account,
- active gallery account,
- cookies enabled,
- min. screen resolution 1024×768 px,
- software to open PDF files.
- Disrupting the Store or posting unlawful content is prohibited. In case of violations, the Gallery may suspend publication, block access or delete the Account.
- All Prices must be in PLN (gross). Prices exclude shipping costs.
- The Gallery may verify submitted artworks, prices and information; entries may be refused or returned for correction.
- The Gallery is not liable for Service interruptions due to force majeure or causes beyond its control; liability limited to the commission amount on the specific sale.
- Information about Goods is an invitation to treat, not an offer.
- Browsing the Store does not require an Account; creating an Account is free.
§ 2. Consignment sales and international sales
- The Gallery sells on consignment the Goods owned by the Artist via soahub.pl.
- The Store serves orders to Poland and abroad (EU and non‑EU).
- Delivery terms and customs/tax charges follow the Gallery’s international sales policy and are communicated before checkout.
- The Artist accepts that additional fees (e.g., customs) may be payable by the Customer in cross‑border sales.
§ 3. Content rights and licence
- The Artist is responsible for content and warrants rights ownership and non‑infringement.
- The Artist indemnifies the Gallery against third‑party claims and related costs.
- By listing artworks, the Artist grants the Gallery a non‑exclusive, royalty‑free licence for Store and promotional use during cooperation and for the period necessary to pursue claims.
- No transfer/sublicensing without the Artist’s consent, except as necessary for promotion on social/sales platforms.
§ 4. Commission and settlements
- Commission: 40% of the gross sales price (incl. VAT, if applicable).
- Deducted from the price received; remaining 60% paid by bank transfer after conditions are met.
- Payout promptly, no later than 21 calendar days after funds and payout data are received.
- Upon withdrawal/refund, the Artist returns 60% within 3 business days of notice.
- In case of Artist’s breach, the Gallery may request performance, suspend sales, impose a penalty up to 100% of the sale price, or terminate in justified cases.
- Sales are confirmed by an accounting document.
§ 5. Listing requirements and order fulfilment
- After login, provide: bio note, photo, artwork photos, artwork description.
- Photo parameters: JPG/PNG/WEBP; cropped, white background, no shadow; min 400 px, max 1920 px; up to 2 MB; portrait 600×400 px (3:2 landscape).
- Gallery may set minimum photo standards and reject listings for correction.
- After sale, the Gallery sends order details and delivery deadline; deliver to the Gallery within 3 business days.
- Shipment to the Gallery is arranged by and under the responsibility of the Artist.
- If sold outside the Store, remove the item within 12 hours.
- If sold in the Store and not shipped, or not removed after external sale within 12 hours – contractual penalty equal to the Gallery sale price (if justified and not grossly excessive).
- Authorize electronic invoices/documents to the Account e‑mail.
- Prices must be identical across channels.
§ 6. Confidentiality
- Keep Gallery information and these Terms confidential, also post‑cooperation, unless disclosure is legally required.
§ 7. Term and amendments
- Terms apply throughout cooperation; agreement is indefinite; one‑month notice for termination.
- Failure to accept amendments results in termination.
- Amendments: publish new version and notify at least 3 days in advance; continued use implies acceptance.
- For stationary exhibitions: sell exhibited works via the Store for at least 3 months.
§ 8. Governing law and disputes
- Polish law applies; disputes resolved by the court competent for the Gallery’s seat; ADR permitted.
§ 9. Complaints
- Submit to the Gallery’s address or info@soahub.pl.
- Response: 14 days (may extend by up to another 14 days with prior notice).
- No response to a consumer complaint within 14 days is deemed acceptance.
§ 10. Personal data (GDPR)
- By creating an Account, the Artist consents to data processing to perform the agreement and provide services.

- Processing under GDPR: performance of the agreement, contact, accounting, legitimate interests, and marketing with consent.
- Scope: name, address, e‑mail, phone and other data voluntarily provided; provision is voluntary but necessary.
- Recipients: accounting, legal, IT and other providers – only as necessary.
- Marketing consent may be withdrawn at any time.
- Rights: access, rectification, objection, restriction or erasure; complaint to the Polish DPA (UODO).
- Consumers have a 14‑day right of withdrawal; refunds exclude extra costs of more expensive delivery than the cheapest offered.
§ 11. Final provisions
- Sharing credentials with third parties enables access and modifications.
- Gallery may amend the Terms; amendments effective upon publication on soahub.pl (subject to rules for ongoing cooperation).
- Matters not regulated herein are governed by the Civil Code and other acts referenced.
- Effective date: 15 October 2025.
